These Terms & Conditions ("Terms") govern your access to and use of the website operated by Modular Shift LLC ("Modular Shift," "we," "us," or "our") at https://modularshift.com and any related features, forms, or content (collectively, the "Site").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

1. Acceptance of Terms

By using this Site or scheduling a consultation through it, you represent and warrant that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Relationship to Written Service Agreements

The content on this Site and any initial calls or consultations booked through the Site are provided for general informational and marketing purposes.

If you become a client of Modular Shift LLC, the specific terms, deliverables, fees, intellectual property transfers, and service conditions will be governed by a separate written Master Services Agreement (MSA), Statement of Work (SOW), or Client Agreement. In the event of any conflict between these Site Terms and your executed client agreement, the terms of the executed client agreement shall prevail.

3. Eligibility

You must be at least 18 years of age and possess the legal authority to enter into binding contracts to access or use this Site. By using the Site, you represent and warrant that you meet these eligibility requirements.

4. Limited License & Acceptable Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site solely for your internal business evaluation and informational purposes.

Prohibited Conduct: You agree that you will not:

  • Scrape, crawl, data-mine, or harvest content or personal information from the Site using automated or manual processes without our express written permission.
  • Attempt to bypass, disable, or interfere with any security-related features of the Site or systems.

  • Client Work & Portfolio: Any white-label software, client-branded materials, or portfolio demonstrations displayed on the Site remain the property of their respective owners or are governed by individual client contracts.

6. Bookings, Consultations & Communications

Submitting a contact form, requesting an audit, or booking a call through our Site does not create a binding service contract or mandate Modular Shift LLC to provide agency services.

By providing your contact information (email address, phone number), you consent to be contacted by Modular Shift LLC as described in Section 3 of our Privacy Policy. Consent to marketing messages is not a purchase requirement, and you may opt out at any time.

7. Third-Party Tools, Platforms & External Links

Our Site and services rely on, integrate with, or link to third-party tools, platforms, and services (such as Google, Meta, CRM providers, booking tools, and hosting providers).

We have no control over the availability, policies, or performance of these third-party platforms. We are not responsible or liable for any downtime, account suspensions, algorithm changes, data loss, or damages resulting from your interaction with or reliance on third-party services.

8. Disclaimers & No Performance Guarantees

"AS IS" BASIS: THE SITE AND ALL CONTENTS, CONSULTATIONS, AND ESTIMATES PROVIDED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

NO MARKETING OR REVENUE GUARANTEES: Any case studies, client testimonials, marketing projections, ROI estimates, or lead volume potential discussed on the Site or during preliminary calls are illustrative examples only. Modular Shift LLC makes no guarantees, representations, or promises regarding specific financial outcomes, conversion rates, or marketing performance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MODULAR SHIFT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, CONSULTATIONS, OR THESE TERMS.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00 USD) OR THE TOTAL AMOUNT YOU PAID TO MODULAR SHIFT LLC FOR SITE USAGE IN THE THREE (3) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless Modular Shift LLC, its officers, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your misuse of the Site.

11. Governing Law & Dispute Resolution

These Terms and any disputes or claims arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the State of New Mexico, without giving effect to any choice or conflict of law provision.

Any legal action, suit, or proceeding arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in New Mexico, and you consent to the personal jurisdiction and venue of such courts.

12. Changes to These Terms

We reserve the right to modify or replace these Terms at any time in our sole discretion. We will indicate the date of the latest updates at the top of this page. Your continued use of the Site following the posting of any revised Terms constitutes your acceptance of those changes.
